Terms of Service

1. Acceptance of Terms

Welcome to Aureum Intelligence LLC ("we," "us," "our"). These Terms of Service ("Terms") govern your access to and use of our website, enterprise AI security platform, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

If you are accessing the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Aureum Intelligence LLC provides enterprise AI security solutions including:

  • AI Agent Deployment: Secure, on-premise, and private cloud AI agent deployment
  • Data Governance: Enterprise-grade data protection and compliance management
  • Security Monitoring: Real-time threat detection and security analytics
  • Integration Services: Connection with existing enterprise systems and workflows
  • Compliance Support: Assistance with regulatory requirements (HIPAA, GDPR, CCPA, etc.)

The Services may be delivered as software, cloud-based solutions, on-premise installations, or hybrid configurations, depending on customer requirements.

3. Account Registration and Security

3.1 Account Creation

To access certain Services, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access or security breaches
  • Accept responsibility for all activities under your account

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Implementing appropriate security measures for your enterprise environment

3.3 Account Termination

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms
  • Engage in fraudulent or illegal activities
  • Pose a security risk to our Services or other users
  • Fail to meet payment obligations

4. Intellectual Property Rights

4.1 Our Ownership

The Services, including all software, documentation, trademarks, logos, and content, are owned by Aureum Intelligence LLC and protected by intellectual property laws. You receive no ownership rights in the Services.

4.2 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Services for your internal business purposes
  • Deploy the Services within your authorized enterprise environment
  • Use the documentation for training and operational purposes

4.3 Restrictions

You may not:

  • Reverse engineer, decompile, or disassemble the Services
  • Remove any proprietary notices or labels
  • Use the Services for competitive purposes
  • Share access credentials with unauthorized parties
  • Attempt to gain unauthorized access to the Services

4.4 Feedback

If you provide suggestions, ideas, enhancement requests, or other feedback regarding the Services ("Feedback"), you grant us a non-exclusive, worldwide, royalty-free, irrevocable, perpetual license to use, modify, and incorporate such Feedback into the Services without obligation or compensation to you.

4.5 Beta and Preview Services

We may offer features or Services designated as "beta," "preview," "early access," or similar ("Beta Services"). Beta Services are provided "as is" without warranty, may contain bugs or errors, may be modified or discontinued without notice, and should not be relied upon for production workloads unless otherwise stated.

5. Customer Data and Privacy

5.1 Data Ownership

You retain all rights, title, and interest in and to your customer data. We claim no ownership rights in your data.

5.2 Data Processing

We process your data only as necessary to provide the Services and in accordance with:

  • Your instructions and configurations
  • Our Privacy Policy
  • Our Data Processing Agreement (DPA)
  • Our Data Usage Policy
  • Applicable data protection laws

5.3 No Training on Customer Data

We do not use your data to train, fine-tune, or improve our AI models, foundation models, or any machine learning systems. Your data is processed solely to deliver the Services you have contracted for.

5.4 Data Security

We implement industry-standard security measures to protect your data, including:

  • Encryption of data in transit and at rest
  • Access controls and authentication mechanisms
  • Regular security audits and monitoring
  • Incident response procedures

6. Payment and Billing

6.1 Fees

You agree to pay all fees associated with the Services as specified in your agreement with us. Fees may include:

  • Subscription fees
  • Implementation and setup charges
  • Support and maintenance fees
  • Custom development costs

6.2 Payment Terms

  • Invoices are due within 30 days of issuance unless otherwise agreed
  • Late payments may incur interest charges at 1.5% per month
  • We reserve the right to suspend Services for non-payment

6.3 Price Changes

We may adjust fees with at least sixty (60) days' written notice before the next billing cycle. Existing customers will be honored at current rates for the duration of their contract term.

6.4 Refunds and Credits

If you terminate your account before the end of a prepaid term, no refund or pro-rata credit will be issued unless otherwise specified in your service agreement. If we terminate the Services for reasons other than your breach, you will receive a pro-rata refund for the unused portion of any prepaid fees.

7. Warranty and Disclaimers

7.1 Limited Warranty

We warrant that the Services will perform substantially as described in our documentation for a period of 90 days from delivery.

7.2 Disclaimer

EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.3 No Guarantee of Results

We do not guarantee specific results from using the Services. Your use of AI technologies involves inherent risks and uncertainties.

7.4 AI Output Disclaimer

AI-generated outputs, recommendations, and analyses provided through the Services are intended to assist, not replace, human judgment. We do not warrant that AI outputs will be accurate, complete, free of bias, or suitable for any particular decision. You are solely responsible for evaluating, validating, and acting upon any AI-generated content. Aureum Intelligence LLC shall not be liable for decisions made in reliance on AI outputs.

8. Limitation of Liability

8.1 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUREUM INTELLIGENCE LLC'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8.2 Exclusion of Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

8.3 Exceptions

The limitations above do not apply to:

  • Gross negligence or willful misconduct
  • Breach of confidentiality obligations
  • Violations of intellectual property rights
  • Personal injury or death caused by our negligence
  • Any liability that cannot be limited by applicable law

9. Indemnification

You agree to indemnify, defend, and hold harmless Aureum Intelligence LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of:

  • Your use of the Services
  • Your violation of these Terms
  • Your infringement of third-party rights
  • Your negligence or willful misconduct
  • Your data or content provided to the Services

10. Termination

10.1 Termination by You

You may terminate your account and Services at any time by providing written notice to us.

10.2 Termination by Us

We may terminate or suspend your access to the Services immediately upon written notice if:

  • You breach these Terms
  • We cease providing the Services
  • Required by law or regulatory authorities
  • You fail to pay fees when due

10.3 Effect of Termination

Upon termination:

  • Your right to use the Services will cease immediately
  • You must cease all use of the Services
  • You will have thirty (30) days to export your data; after this period, we may delete your data in accordance with our Data Usage Policy
  • Accrued fees remain payable
  • Sections regarding intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law principles.

11.2 Dispute Resolution

Any disputes arising from these Terms or the Services shall be resolved through:

  1. Good Faith Negotiation: Parties agree to attempt to resolve disputes through negotiation for at least 30 days
  2. Mediation: If negotiation fails, parties agree to mediation before a neutral third party
  3. Arbitration/Litigation: If mediation fails, disputes shall be resolved through binding arbitration or litigation in the courts of Franklin County, Ohio

11.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION WILL TAKE PLACE ON AN INDIVIDUAL BASIS, NOT AS A CLASS ACTION.

12. Miscellaneous

12.1 Entire Agreement

These Terms constitute the entire agreement between you and Aureum Intelligence LLC regarding the Services and supersede all prior agreements and understandings.

12.2 Amendments

We may modify these Terms at any time. Continued use of the Services after changes constitutes acceptance of the modified Terms. We will provide reasonable notice of material changes.

12.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.5 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

12.6 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, government actions, or internet failures.

12.7 Export Controls and Sanctions

You represent and warrant that you are not located in, or a resident or national of, any country subject to U.S. government embargo or sanctions, and that you are not on any U.S. government restricted parties list. You agree to comply with all applicable export control laws, sanctions, and trade restrictions when using the Services.

12.8 Third-Party Integrations

The Services may integrate with or enable access to third-party services, APIs, or platforms. Your use of such third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party services.
